Affiliate Program Terms & Conditions

1. Enrollment & Acceptance

By enrolling in the ReachScraper Affiliate Program ("the Program"), you ("Affiliate") agree to be bound by these Terms & Conditions. ReachScraper ("we" or "Company") may update these Terms at any time with notice. Your continued participation after any change constitutes acceptance of the updated Terms.

2. Commission Structure

You earn a 30% recurring commission on every qualifying subscription payment made by a customer you refer, for 12 months from the customer's first payment. Commission is calculated on the amount actually received by us, excluding refunds, chargebacks, taxes, and payment processing fees. For annual plans, the initial payment covers 12 months, so no additional recurring commission is credited. Commission stops if the referred customer cancels or stops paying.

3. Payout Terms

• Minimum payout: $50.00 USD in pending commissions.
• Payout schedule: Net-30 (within 30 days of reaching the minimum threshold).
• Payout method: Wire transfer by default. You can also contact us to arrange an alternative. Configure your bank details in your affiliate dashboard.
• You are responsible for providing accurate payout details and for any tax obligations on your earnings.
• We reserve the right to withhold payouts pending investigation of suspected fraud or violation of these Terms.

4. Your Responsibilities

• Promote ReachScraper ethically and honestly.
• Comply with all applicable laws, including CAN-SPAM, GDPR, and FTC disclosure requirements.
• Clearly disclose your affiliate relationship in any promotional content (e.g., "#ad" or "affiliate link").
• Maintain accurate contact and payout information in your affiliate dashboard.
• You are solely responsible for any content you create to promote ReachScraper.

5. Prohibited Activities

You will not:

• Use spam, unsolicited email, or unsolicited social media messages to promote your link.
• Register as your own affiliate or earn commission on your own purchases (self-referrals are automatically blocked).
• Use cookie stuffing, forced redirects, or any technique that artificially inflates clicks or conversions.
• Bid on "ReachScraper" or related branded keywords in search engine advertising.
• Make misleading, false, or exaggerated claims about ReachScraper or its features.
• Create websites, social media profiles, or ads that impersonate ReachScraper or could confuse users into thinking they are our official presence.
• Offer cashback, rebates, or incentives to users for clicking your affiliate link.

We reserve the right to withhold commissions, suspend, or terminate affiliates who engage in prohibited activities.

6. Intellectual Property & Brand Guidelines

We grant you a limited, non-exclusive, revocable license to use our trademarks, logos, and marketing materials solely to promote ReachScraper through your affiliate link. You may not modify our marks or use them in a way that suggests sponsorship or endorsement beyond the affiliate relationship. We may revoke this license at any time.

7. Term & Termination

• This agreement begins when you enroll and continues until terminated by either party.
• You may stop participating at any time by ceasing promotion.
• We may suspend or terminate your affiliate account at any time, with or without cause, including for violation of these Terms, suspected fraud, or activities that harm our brand.
• Upon termination for cause, you forfeit any pending commissions not yet paid. Commissions already earned and paid remain yours.

8. No Guarantee of Earnings

We do not guarantee any specific level of earnings from the Program. Your income depends on your marketing efforts, the quality and volume of your referrals, and other factors outside our control.

9. Relationship of Parties

You are an independent contractor, not an employee, agent, or legal representative of ReachScraper. Nothing in these Terms creates a partnership, joint venture, or employment relationship. You are responsible for your own taxes, insurance, and business expenses.

10. Limitation of Liability

To the maximum extent permitted by law, ReachScraper shall not be liable for any indirect, incidental, consequential, or punitive damages arising from the Program. Our total liability for any claim related to the Program shall not exceed the total commissions paid or payable to you in the 3 months preceding the claim.

11. Modifications

We may modify these Terms at any time. We will notify active affiliates of material changes via email or dashboard notification. Your continued participation after the effective date of any change constitutes acceptance of the modified Terms.

12. Governing Law

These Terms are governed by the laws applicable to ReachScraper's operating jurisdiction, without regard to conflict of law principles. Any disputes shall be resolved in the courts of that jurisdiction.
